Advertising Terms

Effective date: October 23, 2026

These Advertising Terms govern the purchase and display of advertising placements on Cruze Cart by business partners. They supplement the Cruze Cart Terms of Service, which also apply to your use of the Partner Portal.

1. Parties and Acceptance

These Advertising Terms ("Advertising Terms") are a contract between Cruze Cart, LLC, a Georgia limited liability company ("Cruze Cart," "we," "our," or "us") and the business or individual purchasing advertising ("Partner," "you"). You accept these Advertising Terms when you create a Partner Portal account and each time you book an advertising placement. If you accept on behalf of a business, you represent that you are authorized to bind that business.

The Cruze Cart Terms of Service and Privacy Policy are incorporated by reference. If these Advertising Terms conflict with the Terms of Service on an advertising matter, these Advertising Terms control.

2. Advertising Products

Cruze Cart offers the following placements in the Cruze Cart mobile apps:

  • Experience placements — up to seven slots per experience category (one Featured slot shown first, six standard slots), sold by the month.
  • Pinned-search placements — up to three promoted slots per curated search keyword, shown at the top of in-app search results and labeled "Promoted," sold by the month.
  • One Day Events — a single-day event placement labeled "Today Only" on the day of the event.
  • Push Alerts — a monthly bundle of promotional push notifications sent to app users who have opted in to promotional notifications, priced as a flat bundle with a set number of included sends plus a per-send price for additional sends.

Current prices, slot availability, and included quantities are shown in the Partner Portal before you book. Slot positions are exclusive: once a slot or push week is booked, it is unavailable to other partners for the booked period.

Unsold and complimentary placements. Where a slot has not been sold, we may leave it empty, fill it with a listing for a local business that has not paid and has no relationship with us, or place an ad at no charge. Your exclusivity is to the paid slot you booked; it is not a promise that surrounding positions are paid, and a placement labeled "Promoted" elsewhere in the app may be complimentary.

3. Payment, Chargebacks, and Duration Discounts

All placements are prepaid in full for the committed term at booking, through our payment processor, Stripe. Monthly products may be booked for committed terms of 1, 3, 6, 9, or 12 months; longer terms receive a duration discount off the base monthly rate (currently 10% for 3 months, 20% for 6 months, 25% for 9 months, and 30% for 12 months), applied at checkout.

Placements do not auto-renew: when your committed term ends, the slot is released. A pending (unpaid) checkout holds its slot or push week for a limited time (approximately one hour); if payment is not completed, the hold lapses and the inventory becomes available to others.

Founding advertiser pricing. From time to time we offer a promotional rate to the first advertisers to book a given experience slot, redeemed with a code at checkout. Where you qualify, that rate is specific to the one slot and category you booked, is limited to one slot per business per category, and is not combinable with duration discounts. Qualifying requires a prepaid term of at least six months; if that term is cancelled, refunded, or removed before it ends, the promotional rate and the reserved position are forfeited and become available to other advertisers. Once the qualifying term has been served, the rate continues to apply to your future bookings of that same slot for as long as we offer the placement. It is personal to your business and may not be transferred, assigned, or resold, including on a sale of the business, and it does not reserve the slot: if you do not have a current booking, the slot may be sold to someone else, and the rate applies only when it is available again. We may withdraw the offer for future advertisers at any time; doing so does not affect a rate already earned.

Chargebacks. The "Cancellation and Refunds" section below is the exclusive way to obtain a refund. If you have a problem with a charge, contact us first. Filing a card dispute or chargeback instead does not entitle you to more than that section provides; we may contest the dispute with our booking and delivery records, and we may pause or remove your placements and suspend Partner Portal access while a dispute is open. Amounts recovered by chargeback for a placement that ran are a debt owed back to us.

4. Cancellation and Refunds

You may cancel a placement at any time from the Partner Portal. When you cancel, the placement stops running and its slot is released immediately. Refunds depend on the product:

  • Monthly placements (Experience and Pinned-search): the refund is 50% of the unused portion of the committed term, calculated pro-rata by days remaining. For example, cancelling a 6-month term at its start refunds approximately half of what you paid; cancelling a 1-month term with one day left refunds approximately 2%. You keep none of the time used and forfeit half of the time remaining.
  • One Day Events: a full refund if you cancel before the event day (in the event city's local time); no refund on or after the event day.
  • Push Alerts: a refund of 50% of the bundle price attributable to unsent alerts; sends already delivered are not refundable.
  • Placements that never ran: if you paid for a placement and it never went live — for example it was still awaiting review when you cancelled — you receive a full refund, whichever product it was.

Refunds are calculated by Cruze Cart's systems at the time of cancellation and are issued through Stripe to your original payment method; how quickly the money appears is up to Stripe and your card issuer, and typically takes several business days. Removal of an ad for a violation of these Advertising Terms (including the golf-cart accessibility requirement below) is not a cancellation by you and does not entitle you to a refund.

5. Golf Cart Accessibility Requirement

Cruze Cart is a golf-cart navigation service. To advertise on Cruze Cart, your business or event must be accessible by golf cart via the local cart-path network. You confirm this requirement in the disclaimer presented before every checkout.

If your placement is reviewed and your business or event is found not to be accessible by golf cart, the placement will be removed and you will not be refunded. This is the policy you accept at checkout, and it exists to keep the app's listings honest for riders.

6. Push Alert Scheduling and Review

Promotional push notifications are subject to a hard cadence limit: only one promotional push is sent per week, per city, across all advertisers, first come, first served. Each purchased send books a specific week; booked weeks are exclusive and shown at booking.

All push content is reviewed by Cruze Cart before delivery. We may decline, request changes to, or reschedule a push whose content violates these Advertising Terms or that we reasonably consider misleading, inappropriate, or harmful to the Cruze Cart community. Push alerts are delivered only to users who have opted in to promotional notifications; delivery counts and timing are not guaranteed.

7. Ad Content Standards and License

You are solely responsible for your ad content. You represent and warrant that:

  • All information in your placement (business details, hours, offers, imagery) is accurate, current, and not misleading;
  • Your business and offers comply with applicable laws and regulations;
  • You own or have the rights to all content you submit, and it does not infringe any third party's intellectual property, privacy, or publicity rights;
  • Your content contains nothing unlawful, deceptive, obscene, or discriminatory, and does not promote products or services unlawful for general audiences.

You grant Cruze Cart a non-exclusive, royalty-free license to use, reproduce, display, and distribute your ad content in the Cruze Cart apps and Site, and in previews of them, for the purpose of providing the advertising services. We may remove or suspend any placement that violates these standards; removals for violations are without refund.

8. Metrics, Viewability, and Disputes

How the numbers are produced. Impressions and taps are reported to us by the Cruze Cart apps running on users' devices, and totaled by our systems — they are not independently audited or verified by a third party. An impression is counted when at least half of a placement has been on screen for at least one second, counted at most once per time the surface is loaded. That is the measurement standard we apply; it is the industry viewability convention, not a guarantee that a person read your ad.

Disputes. If you disagree with reported figures, tell us in writing within 30 days of the end of the month they cover; after that they are final. We may adjust, restate, or withhold figures we reasonably believe reflect invalid, automated, or misreported activity, and adjusted figures do not by themselves entitle you to a refund or credit.

These metrics are estimates provided for your information only. Cruze Cart does not guarantee any level of impressions, taps, foot traffic, sales, or other business outcome from any placement.

Pausing does not extend your term. You may pause a live placement from the Partner Portal, which stops it from being served in the app. Pausing does not change the start or end dates of your committed term, does not credit or add time, and does not release the slot — the term continues to run and ends on its original end date whether the placement is paused or serving.

9. Relationship of the Parties

These Advertising Terms do not create a partnership, joint venture, franchise, employment, or agency relationship between you and Cruze Cart, LLC. Neither of us may bind the other or act on the other's behalf. That we review, approve, schedule, format, or transmit your content — including sending a push notification you purchased to our users — does not make us its author, publisher, endorser, or the party responsible for it. You remain solely responsible for your ad content, your offers, and your business, and each of us is responsible for its own compliance with the laws that apply to it.

10. Partner Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cruze Cart, LLC and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your ad content or the products, services, events, or premises it promotes; (b) your violation of these Advertising Terms or any applicable law; or (c) any claim by a customer or third party relating to your business. This obligation survives the end of your placements and these Advertising Terms.

11. Disclaimer of Warranties and Limitation of Liability

THE ADVERTISING SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE DELIVERY OF ANY PLACEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRUZE CART, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE ADVERTISING SERVICES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE ADVERTISING SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO CRUZE CART, LLC FOR ADVERTISING IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Dispute Resolution and Arbitration

Before filing any claim, you and Cruze Cart agree to attempt to resolve the dispute informally: send a written notice describing the dispute and the relief sought to support@cruzecart.com or to Cruze Cart, LLC, PO Box 202, Peachtree City, GA 30269, and allow 60 days for good-faith resolution.

Any dispute, claim, or controversy arising out of or relating to these Advertising Terms or the advertising services that is not resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect, by a single arbitrator seated in Fayette County, Georgia (hearings may be conducted by videoconference where the rules allow). These Advertising Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, and the Federal Arbitration Act governs this arbitration provision. Each party may seek injunctive relief for intellectual property claims, and bring qualifying claims in small claims court, without arbitrating. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND BOTH PARTIES WAIVE TRIAL BY JURY. Judgment on the award may be entered in any court of competent jurisdiction; any non-arbitrable claim shall be brought exclusively in the state or federal courts located in Fayette County, Georgia.

13. General Terms

Entire agreement. These Advertising Terms, together with the Terms of Service and Privacy Policy they incorporate, and the booking details shown in the Partner Portal at checkout, are the entire agreement between you and Cruze Cart, LLC about advertising. They replace any earlier version and any other statement about the advertising services, including rate cards, marketing material, and anything said in a sales conversation.

Severability. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in full force.

Assignment. Advertising is sold to the business that books it. You may not assign, transfer, sublicense, resell, or otherwise make available to a third party any placement, slot, or booked push week, whether or not for payment, without our prior written consent — including through a change of control of your business. We may assign these Advertising Terms to an affiliate or in connection with a merger, acquisition, or sale of our business.

No waiver. If we do not enforce a provision, or delay in doing so, that is not a waiver of it, and it does not waive our right to enforce the same provision later or against anyone else. A waiver counts only in writing and only for the instance it names.

Force majeure and service interruptions. Neither party is liable for a failure or delay caused by something outside its reasonable control — including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, epidemics, power or internet failures, acts of government, and outages or changes at the third-party services we depend on (including app stores, hosting, mapping, and payment providers). If such an event prevents us from serving a paid placement for a continuous period of more than seven days, your exclusive remedy is a pro-rata credit or refund for the affected portion of the term, at our election.

Survival. Provisions that by their nature should survive will survive the end of your placements or these Advertising Terms — including the content license, your representations, indemnification, disclaimer of warranties, limitation of liability, chargeback obligations, dispute resolution and arbitration, and this section.

Notices. We give notice through the Partner Portal or by email to the address on your partner account, and notice is effective when sent — keep that address current. Send notices to us at support@cruzecart.com or Cruze Cart, LLC, PO Box 202, Peachtree City, GA 30269, except arbitration notices, which follow the arbitration section above.

Headings. Headings are for convenience only and do not affect interpretation; where these Advertising Terms refer to another section, they do so by its name.

14. Changes to These Advertising Terms

We may update these Advertising Terms from time to time. Material changes will be posted on this page with a new effective date and apply to placements booked after the change; the terms in effect when you booked continue to govern that booking. Your next booking after a change constitutes acceptance of the updated Advertising Terms.
